1. Acceptance of Terms

These Terms and Conditions (the “Terms”) constitute a binding agreement governing the use of Take the Slot, a product of ManageTeamz, a Way2Smile Solutions DMCC company. The Terms apply to any website, admin dashboard, booking portal, or other feature operated or provided as part of Take the Slot (collectively, “Take the Slot”).

Access to, viewing of, or use of Take the Slot in any manner constitutes acceptance of these Terms and of any policy or agreement incorporated by reference, including the Privacy Policy. Any party that does not agree to these Terms must discontinue access to and use of Take the Slot.

Take the Slot may modify these Terms at any time, without prior notice, at its sole discretion. Continued use of Take the Slot following any modification constitutes acceptance of the Terms as modified. Users are advised to review these Terms periodically.

2. Privacy

Use of Take the Slot is also governed by the Take the Slot Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy sets out the respective rights and responsibilities of users and Take the Slot with regard to the collection and use of personal information. Personal information will not be used in any manner inconsistent with the purposes and limitations described in the Privacy Policy.

3. Modification or Discontinuation of Service

Take the Slot reserves the right, at any time and from time to time, to modify or discontinue, temporarily or permanently, the Platform or any part of it, with or without notice. Take the Slot shall not be liable to any user or third party for any modification, suspension, or discontinuance of the service. Take the Slot may establish general practices and limits concerning use of the Platform.

4. Access and Use

Subject to these Terms, the Platform may be accessed as a “Visitor” (browsing Take the Slot without registration) or as a “Registered User” (an activity provider, business administrator, or customer who has registered an account and agreed to any additional terms applicable to that registration).

No representation is made that content or materials available on Take the Slot are appropriate or available for use in all locations or jurisdictions. Any user accessing Take the Slot from outside the jurisdiction in which it is operated does so on their own initiative and is responsible for compliance with applicable local laws.

5. Bookings and Availability

Take the Slot enables activity providers to list available slots, sessions, and reservations, and enables customers to book such slots through the Platform. Take the Slot facilitates this booking process but is not the operator of the underlying activity, facility, or event, and is not responsible for the conduct, quality, safety, or delivery of any activity booked through the Platform.

Activity providers are solely responsible for the accuracy of listed availability, pricing, and activity details, and for honoring confirmed bookings. Customers are responsible for reviewing booking details prior to confirmation. Cancellation, rescheduling, and refund terms are set by the individual activity provider unless otherwise stated at the time of booking.

6. Intellectual Property

All text, software, data, information, visual, audio, and other digital material, and all other content of any description available on Take the Slot or included in any service offered through it (collectively, the “Content”), together with all worldwide copyrights, trademarks, service marks, patents, trade secrets, know-how, database rights, and other rights in or relating to the Content, are owned by Take the Slot, ManageTeamz, Way2Smile Solutions DMCC, or third parties who have granted permission for their use.

7. User-Generated Content

Take the Slot may provide the opportunity for users to exchange information, reviews, comments, or opinions on the Platform. Content posted by users does not necessarily reflect the views of Take the Slot. Take the Slot does not assume responsibility or accept liability for the accuracy of any information, ideas, or opinions posted by users, and shall not be liable for any errors, inaccuracies, omissions, or other defects in such content, regardless of cause or duration.

8. Indemnification

Each user agrees to indemnify and hold harmless Take the Slot, ManageTeamz, Way2Smile Solutions DMCC, and their respective officers, directors, employees, suppliers, and licensors (collectively, the “Take the Slot Parties”) from and against any liability, loss, cost, or expense, including reasonable legal fees, incurred by any Take the Slot Party in connection with any claim arising out of: (i) the user's connection to, access to, or use of Take the Slot; (ii) the user's violation of these Terms; or (iii) the user's violation of the rights of any other person or entity.

Take the Slot reserves the right to assume the exclusive defense and control of any matter subject to indemnification, and the user agrees to cooperate with that defense.

9. Disclaimer

Use of Take the Slot is at the user's sole risk. The Platform is provided on an “as is” basis. The Take the Slot Parties do not warrant the accuracy, adequacy, timeliness, or completeness of the Platform or any part of it, and disclaim liability for any errors or omissions. No warranty or condition of any kind, whether implied, express, or statutory, is given in connection with Take the Slot.

Take the Slot disclaims any responsibility for the deletion, failure to store, misdelivery, or untimely delivery of any information or material, and disclaims responsibility for any harm resulting from downloading or accessing information or material through the Platform.

10. Limitation of Liability

The Take the Slot Parties will not be liable for any damages, losses, or expenses, including indirect, special, incidental, consequential, or punitive damages, arising from the use of or inability to use Take the Slot, or from any error, omission, interruption, defect, delay, computer virus, system failure, or loss of data, even where the relevant Take the Slot Party has been advised of the possibility of such damages.

Some jurisdictions do not permit the exclusion or limitation of liability for consequential or incidental damages, and the above limitations may not apply in full in those jurisdictions.

11. Third-Party Websites and Links

Take the Slot may contain links to, or content from, third-party websites (“Third-Party Websites”), including websites operated by individual activity providers. Third-Party Websites are not owned or controlled by Take the Slot, and Take the Slot has no control over the content, products, or services available through them. Access to any Third-Party Website is entirely at the user's own risk, and it is the user's responsibility to take appropriate precautions against viruses or other harmful content. Take the Slot makes no representation or warranty regarding, and does not endorse, any Third-Party Website.

12. Security and Law Enforcement Cooperation

Take the Slot reserves the right to cooperate fully with law enforcement authorities or court orders requesting or directing disclosure of the identity of any person posting content, or publishing or otherwise making available user-generated content, believed or alleged to violate these Terms or any applicable law or regulation. Each user waives and holds Take the Slot harmless from any claim resulting from action taken during or as a result of such investigations.

13. Submission of Ideas or Suggestions

Take the Slot welcomes ideas or suggestions regarding improvements or new features. Any such submission is subject to these Terms and is not subject to any obligation of confidentiality or expectation of compensation. By submitting an idea, suggestion, or related material, the submitting party waives all rights, including moral rights, in that material, and represents that the material is wholly original and that Take the Slot is free to implement or use it, as submitted or as modified, without obtaining permission from any third party.

14. Beneficiaries

The Take the Slot Parties, though not direct parties to these Terms in every instance, are intended third-party beneficiaries with the right to enforce these Terms directly against any user.

15. Assignment

No user may assign any rights or obligations under these Terms, and any purported assignment shall be ineffective. Take the Slot may assign or delegate its rights and obligations under these Terms without notice.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Tamil Nadu and the applicable laws of India. Each user irrevocably submits to the non-exclusive jurisdiction of the courts of the State of Tamil Nadu, India, without regard to conflict-of-laws principles.

17. General Provisions

The failure of Take the Slot to exercise or enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Section headings are included for convenience only and have no legal or contractual effect. If any provision of these Terms is found unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity or enforceability of the remaining provisions.
